This website, https://exdivo.com/ (the “Website”), is operated by Exdivo Trading Limited, trading as ExDivo (“ExDivo,” “we,” “us,” or “our”). Exdivo Trading Limited is a company incorporated in the British Virgin Islands.

These Terms of Service (“Terms”) govern your access to and use of the Website and your purchase of products or use of services made available through the Website (collectively, the “Services”).

By accessing the Website, creating an account, or placing an order, you agree to be bound by these Terms, together with our Privacy Policy, Shipping Policy, Return and Refund Policy, Payment Policy, and any other policies expressly incorporated into these Terms.

If you do not agree to these Terms, you must not use the Website or purchase products through it.

2. ADULT-ONLY WEBSITE AND AGE REQUIREMENTS

Product images are provided for reference. Unless expressly stated, accessories or decorative items shown in images may not be included.

For third-party products, trademarks, product names, specifications, and images may be supplied by the relevant manufacturer, brand owner, distributor, or supplier. All third-party trademarks belong to their respective owners.

We reserve the right to correct errors, update product information, impose quantity limits, discontinue products, or withdraw listings without prior notice.

6. PRODUCT SAFETY

WARNING: Products containing nicotine contain an addictive chemical.

Products offered through the Website are not intended for minors, people who do not already use nicotine products, pregnant or breastfeeding persons, or persons for whom nicotine use is medically inadvisable.

Use products only in accordance with the manufacturer’s instructions and warnings. Keep all products, batteries, liquids, pods, packaging, and accessories away from children and animals.

7. ORDERS AND CONTRACT FORMATION

By submitting an order, you make an offer to purchase the products in your order subject to these Terms.

After you place an order, we may send an order acknowledgement. An acknowledgement confirms only that we have received your order and does not mean that your order has been accepted.

A binding sales contract is formed only when we send you an order confirmation or dispatch confirmation stating that your order has been accepted, unless applicable law provides otherwise.

We may refuse, limit, or cancel an order before acceptance for reasons including:

(a) product unavailability;
(b) pricing or listing errors;
(c) failed payment authorization;
(d) unsuccessful age or identity verification;
(e) suspected fraud, resale, diversion, or unlawful activity;
(f) restrictions at the delivery destination;
(g) inaccurate customer information; or
(h) quantity or operational limitations.

If we cancel an order after payment has been collected, we will refund the applicable amount to the original payment method, subject to the processing times of the payment provider.

8. PRICING, TAXES, DUTIES, AND CURRENCY

Prices are displayed in the currency shown on the Website at the time of purchase.

Unless expressly stated otherwise, displayed prices may exclude shipping charges, customs duties, import taxes, sales taxes, excise taxes, brokerage fees, or other government charges that may apply to the order.

You are responsible for charges that applicable law requires the customer or importer to pay. We do not control customs authorities and cannot guarantee that an order will be free from inspection, delay, tax, duty, seizure, refusal, or other action by a carrier or government authority.

If a product is listed at an incorrect price, we may contact you to confirm whether you wish to proceed at the correct price or cancel the affected item. We will not charge a higher price without your authorization. If we cancel an affected paid order, the applicable amount will be returned to the original payment method.

9. PAYMENT

Payment must be made using a payment method accepted on the Website.

By submitting payment information, you represent and warrant that:

(a) you are authorized to use the payment method;
(b) the billing information is accurate;
(c) the transaction is lawful; and
(d) sufficient funds or credit are available.

Payments may be processed by third-party payment service providers. Their services may be subject to separate terms and privacy notices.

We may perform authorization, fraud-prevention, identity, and verification checks. A payment authorization or temporary hold does not necessarily mean that an order has been accepted.

10. SHIPPING AND DELIVERY

Shipping destinations, estimated processing times, delivery estimates, carriers, tracking, and related conditions are described in our Shipping Policy.

Depending on product availability and delivery destination, some United States orders may be fulfilled through a fulfillment facility in Chicago, Illinois. A fulfillment facility is not necessarily a company headquarters, retail store, return center, or public customer-service location.

Delivery dates are estimates unless we expressly state that a date is guaranteed. Delays may occur because of verification, stock availability, carrier operations, customs processing, weather, government action, destination restrictions, or events outside our reasonable control.

If we cannot ship within the time stated at checkout or otherwise agreed with you, we will provide an updated estimate or the cancellation and refund options required by applicable law.

You are responsible for providing a complete, accurate, and deliverable address. Additional costs caused by an incorrect or incomplete address, refusal of delivery, or failure to collect a parcel may be deducted from any refund where permitted by law.

Risk of loss and legal title pass at the time required by applicable law. Nothing in these Terms limits any mandatory consumer rights relating to delivery or risk.

11. CANCELLATIONS, RETURNS, AND REFUNDS

Order cancellations, returns, replacements, store credits, and refunds are governed by our Return and Refund Policy.

You must contact info@exdivo.com and obtain instructions before returning a product. Do not send products to a manufacturer, supplier, warehouse, or address shown on a shipping label unless our customer-service team has authorized that return address in writing.

For hygiene and safety reasons, opened, used, activated, or unsealed consumable products may not be returnable unless they are defective, incorrectly supplied, damaged in transit, or return is otherwise required by applicable law.

Where we cancel an order because we cannot supply or ship the purchased goods, any required refund will be made to the original payment method. We will not substitute store credit where applicable law requires a monetary refund.

Nothing in these Terms or our policies excludes consumer rights that cannot lawfully be excluded.

12. WEBSITE ACCESS

We may modify, suspend, restrict, or discontinue any part of the Website or Services for maintenance, security, legal, technical, or operational reasons.

We do not guarantee that the Website will always be available, uninterrupted, secure, or error-free. Access may be temporarily unavailable due to maintenance, system failures, third-party services, network conditions, or events beyond our reasonable control.

13. PROHIBITED USE

You must not use the Website or Services to:

(a) violate any law, regulation, court order, or third-party right;
(b) purchase products for or supply products to minors;

Where liability may lawfully be limited, our aggregate liability arising from a particular order will not exceed the amount you paid to us for that order, except where applicable law requires a different remedy or limit.

20. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless Exdivo Trading Limited and its directors, officers, employees, agents, contractors, and affiliates from third-party claims, losses, liabilities, damages, and reasonable costs arising from:

(a) your unlawful use of the Website or products;
(b) your breach of these Terms;
(c) your infringement of another person’s rights;
(d) your provision of false age, identity, payment, or delivery information; or

This section does not require a consumer to indemnify us for our own negligence, breach, or unlawful conduct.

21. FORCE MAJEURE

If a provision of these Terms conflicts with a specific term in our Shipping Policy, Return and Refund Policy, Payment Policy, or Privacy Policy, the more specific policy will apply to the subject it governs, unless applicable law requires otherwise.

28. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of Hong Kong SAR, without regard to conflict-of-law principles.

Subject to any mandatory consumer rights or jurisdiction rules that apply where you live, the courts of Hong Kong SAR will have non-exclusive jurisdiction over disputes arising from these Terms, the Website, or the Services.

Before starting formal proceedings, you and Exdivo Trading Limited agree to make a reasonable effort to resolve the dispute by contacting the other party and providing relevant order and complaint information.

Nothing in this section prevents you from using a consumer-protection remedy or forum that cannot lawfully be excluded.

We aim to resolve complaints fairly and promptly.
